Dubai, February 21, 2022: Vista Global Holding (Vista), the world’s leading private aviation group, announces that it has entered into an agreement to acquire AIR HAMBURG’s operating platform and maintenance services.

Founded in 2006, AIR HAMBURG has become one of the most well-established full-service private aviation companies, flying to over 1,000 destinations in Europe alone. It is the largest private jet operator by number of flights across Europe, organizing over 18,800 flights for its clients in 2021, and it is second only to Vista in terms of hours flown, recording over 35,000 hours in 2021. As a result, Vista expects an increase of around 30% in flight hours (on a combined basis) globally following the completion of the transaction.

GREENWICH, Conn., and LONDON, Feb. 20, 2022 (GLOBE NEWSWIRE) — The Boards of Clipper Logistics plc (“Clipper”) and GXO Logistics, Inc. (“GXO”) are pleased to announce that they have reached agreement on the key terms of a possible cash and share offer for Clipper by GXO (the “Possible Offer”).

The Board of Clipper has confirmed to GXO that, should a firm offer be made on the financial terms of the Possible Offer, it is minded to recommend it unanimously to Clipper shareholders, subject to the agreement of other customary terms and conditions.

Any announcement by GXO of a firm intention to make an offer for Clipper remains subject to the satisfaction or waiver (by GXO) of a number of customary pre-conditions, including, inter alia, completion of confirmatory due diligence, agreement of the detailed terms of the Possible Offer and finalising the securing of debt financing.

Terms of the Possible Offer

The Possible Offer is to acquire each Clipper ordinary share for a combination of cash and new GXO shares (to be issued on the basis of the Exchange Ratio as defined below) as follows:

  • 690 pence in cash; and
  • such number of new GXO shares as would imply a valuation of 230 pence based on the trailing GXO 3-month volume weighted average price and a trailing 3-month average USD/GBP exchange rate (the “Exchange Ratio”) in each case calculated for the period ending on the last practicable date prior to any firm offer announcement,

(the “Possible Offer Terms”).

Accordingly, on the basis of the Exchange Ratio set out above, the Possible Offer will imply a total valuation of 920 pence per Clipper ordinary share.

Clipper shareholders should note that the total value of the Possible Offer at the point of announcement of a firm offer may be different from that implied by the Exchange Ratio. For example, if the Exchange Ratio were to be determined on the day of this announcement the Possible Offer would, using the price of a GXO share at the close of business on 18 February 2022, value each Clipper ordinary share at 901 pence.

GXO is intending to offer a mix and match facility to Clipper shareholders under which Clipper shareholders may elect, subject to availability, to vary the proportions in which they receive new GXO shares and cash in respect of their holdings in Clipper shares.

GXO has received irrevocable undertakings to vote in favour of an offer (and to elect to receive 50 per cent of their consideration in shares) made on the financial terms of the Possible Offer from, in aggregate, the holders of 23,889,180 Clipper shares, representing approximately 23.31 per cent. of Clipper’s issued share capital, including from Steve Parkin, Executive Chairman, Tony Mannix, CEO, and David Hodkin, CFO, in respect of their entire holdings of Clipper shares.

The irrevocable undertakings remain binding in the event of a competing offer. Full details of the irrevocable undertakings are set out below.

Details of irrevocable undertakings

The following Clipper shareholders have given irrevocable undertakings to GXO to (i) vote in favour of the Possible Offer at any court meeting (or, in the event that the Possible Offer is implemented by way of a takeover offer rather than a scheme of arrangement, accept the takeover offer); and (ii) elect to receive 50 per cent. of their consideration in new GXO shares, in relation to the following Clipper shares:

The obligations of the relevant Clipper Shareholders under the irrevocable undertakings shall remain binding in the event of a competing offer for Clipper and shall only cease to be binding if:

  • an announcement by GXO of a firm intention to make an offer for Clipper is not released by 7 a.m. on 15 April 2022 or such later date as GXO and Clipper may agree;
  • GXO announces that it does not intend to make or proceed with the Possible Offer and no new, revised or replacement offer is announced in accordance with Rule 2.7 of the Code at the same time;
  • if the Possible Offer lapses or is withdrawn and no new, revised or replacement offer has been announced, in accordance with Rule 2.7 of the Code, in its place or is announced, in accordance with Rule 2.7 of the Code, at the same time; or
  • any competing offer for the entire issued and to be issue share capital of Clipper becomes or is declared wholly unconditional or, if proceeding by way of a scheme of arrangement, becomes effective.

The irrevocable undertakings shall apply to:

  • the Possible Offer only if it is made (i) on the Possible Offer Terms; (ii) with the recommendation of the board of directors of Clipper; or (iii) as otherwise agreed in writing; and
  • any new, increased, renewed or revised firm offer (under Rule 2.7 of the Code) made by GXO provided that its terms are: (i) in the reasonable opinion of Clipper’s financial adviser, at least as favourable to Clipper’s shareholders as the Possible Offer Terms and/or the terms described in the announcement by GXO of a firm intention to make an offer for Clipper (as applicable); or (ii) recommended by the board of directors of Clipper.

☕️Afternoon briefing on February 21

The following is a brief review of the day’s events as reported by the Vietnam News Agency.

– Prime Minister Pham Minh Chinh attended the high-level session of the annual Vietnam Business Forum (VBF) in Hanoi on February 21 under the theme “Restoring the economy and Developing supply chain in the new normal”. Addressing the event, the PM stated that Vietnam will roll out measures to recover the supply chains as well as business and production activities, while speeding up administrative reform, and developing different factors serving production such as capital, land, resources and science-technology markets.

– The business community have put forward various recommendations at the Vietnam Business Forum (VBF) 2022 on how to revive and sustainably develop the economy in the face of adverse impacts from the COVID-19.

Themed “Restoring the economy and developing supply chain in the new normal,” the VBF was co-hosted by the Vietnam Chamber of Commerce and Industry (VCCI), Ministry of Planning and Investment, World Bank (WB), and International Finance Corporation (IFC) in Hanoi on February 21.

– Retail petrol prices continued to rise by nearly 1,000 VND per litre from 3pm on February 21 following the latest adjustment by the Ministry of Industry and Trade and the Ministry of Finance.

This is the fourth consecutive increase of petrol prices in 2022 and the fifth in a row, with total increase of nearly 3,500 VND per litre.

– Vietnam’s seaports handled an estimated 117 million tonnes of commodities in the first two months of 2022, posting a year-on-year rise of 7 percent, according to the Vietnam Maritime Administrative (VMA).

– The Ministry of Culture, Sports and Tourism (MoCST) has proposed to let foreign visitors test for COVID-19 using rapid antigen test kits and those who have negative testing results travel freely when they are in Vietnam, as the country plans to welcome foreign tourists back from March 15.- Vietnamese carrier Bamboo Airways operated the first flight connecting Ho Chi Minh City and Melbourne in Australia on February 19-20.

Foreign tourists may take COVID-19 rapid test, travel freely in Vietnam: proposal

The Ministry of Culture, Sports and Tourism (MoCST) has proposed to let foreign visitors test for COVID-19 using rapid antigen test kits and those who have negative testing results travel freely when they are in Vietnam, as the country plans to welcome foreign tourists back from March 15.

Under the ministry’s latest proposal now being circulated for opinions of relevant agencies, the country will receive foreign visitors travelling to Vietnam by land and sea instead of just by air during the period of pilot re-opening of tourism.

Regarding conditions for entry, the proposal suggests that travellers of age 12 and above must have certificates of full vaccination against COVID-19 or recovery from the disease. A negative COVID-19 test result is compulsory with both results of quick tests taken within 24 hours prior to departure or RT-PCR tests within 72 hours before departure acceptable.

After entry, those arriving by air will take rapid tests at their accommodations with results to be returned within 24 hours. Meanwhile, those arriving by land or sea are required to take rapid tests at the border gates.

Children under 12 and senior citizens over 65 who have yet to receive COVID-19 jabs can enter Vietnam but must be accompanied by their guardians and purchase health insurance. If testing negative, they can travel freely inside the country.

The MoCST also proposed visa exemption like before COVID-19 broke out in 2020, with an aim to attract foreign tourists.

Vietnam aims to serve 65 million visitors, including 5 million foreigners this year.

The country welcomed 40 million domestic tourists in 2021, together with 3,800 foreigners within the framework of the pilot vaccine passport programme.

Khanh Hoa busy preparing for int’l tourism restoration

Tourism businesses and authorities in Khanh Hoa province are swiftly making infrastructure and personnel preparations to welcome international tourists back as Vietnam is set to completely reopen to foreign travellers from March 15.

Khanh Hoa, home to one of the most beautiful coasts in central Vietnam and experienced in the pilot reopening to foreign visitors, is now confident in reactivating tourism, Lao dong (Labour) newspaper reported.

The tourist site on Diep Son Island of Van Ninh district is undergoing repair and upgrade. Its owner, Trinh Minh Dai Anh, said during over two years full of pandemic-caused difficulties, he has striven to maintain the site’s operations with the hope for tourism revival.

The entire infrastructure of this site has been upgraded since the Lunar New Year holiday, he went on, noting that all residents and businesses in Khanh Hoa are now ready for resuming tourism activities in the new normal.

Travel companies and hotels in the province are also ramping up preparations for international tourism restoration.

Hoang Thi Phong Thu, Chairwoman of the Pegas Misr Vietnam Travel Co. Ltd, said her business is building a personnel recruitment plan to serve tourists from Russia, a major source of foreign visitors to Khanh Hoa.

She also proposed the Ministry of Culture, Sports and Tourism (MCST) swiftly issue detailed guidelines on international tourism reopening, adding that the important thing is countries’ governments should reach consensus early on the resumption of air routes linking with traditional markets such as Russia, the Republic of Korea, and Japan.

Nguyen Duc Tan, General Director of the Anex Vietnam Travel and Trading Co. Ltd, which has engaged in the pilot scheme to receive Russian visitors back since late 2021, also expressed his optimism about tourism reactivation.

He hoped the Government and Foreign Ministry will soon reach agreement with the Russian side about the plans and conditions for travel resumption.

Many other enterprises in Khanh Hoa expressed their hope for easing entry regulations for foreign workers in the tourism industry.

To prepare for the reopening, the Khanh Hoa Tourism Association has organised an inter-sectoral survey team and instructed accommodation facilities, tourist attractions, transport and travel companies, along with shops, in how to serve foreign tourists and take anti-COVID-19 measures.

Nguyen Thi Le Thanh, Director of the provincial Tourism Department, said basing on the initial success in reopening domestic tourism, Khanh Hoa has been working to attract international travellers back.

It views the domestic market as the key factor in tourism recovery and also keeps a close watch on guidelines from the Government and the MCST so as to make appropriate moves in international tourism reactivation, she added.

More int’l airlines plan to resume flights to Indonesia’s Bali

Indonesia’s State-owned airport operator PT Angkasa Pura I (AP I) has received applications from three international airline companies to resume flights to I Gusti Ngurah Rai International Airport in Bali this March.

The three international airline companies are KLM Royal Dutch of the Netherland, Scoot Tiger Air of Singapore, and JetStar Airways of Australia, AP I President Director Faik Fahmi noted in a written statement on February 19.

He considered this a positive signal for the recovery of international airlines’ and foreign tourists’ trust to fly to enjoy holidays in Bali.

Fahmi highlighted the commitment of AP I to support all efforts to revive international flights amid the COVID-19 pandemic by applying stringent health protocols and ensuring its operations in accordance with rules.

He expressed the optimism that the number of international passengers and flights to Bali will increase gradually and help the local economy and Bali tourism recover sustainably.

Meanwhile, Bali Governor Wayan Koster noted the national flag carrier Garuda Indonesia will restore flights from Sydney to Denpasar to support the resumption of international routes to Bali.

He said reopening the Sydney-Bali air route will be a good initial step as the local economy has been acutely impacted by the COVID-19 pandemic. If the endeavors to handle COVID-19 in Bali can run well, tourism recovery can begin.

On February 3, the arrival of a Garuda Indonesia flight from Narita of Japan to Denpasar of Bali marked the resumption of international flights at the I Gusti Ngurah Rai International Airport.

Disease takes a heavy toll on Thai shrimp yields

Thai shrimps have been affected by early mortality syndrome (EMS), which has severely dented yields since 2012, leading to dependence on imports, according to Thai Shrimp Association (TSA).

Thailand used to produce more than 630,000 tonnes of shrimp, but now produces only 280,000 tons worth 43 billion baht (about 1.33 billion USD). The output was not enough to meet the needs of factories so shrimp has to be imported before it is processed for export, Ekapoj Yodpinit, TSA’s president, was quoted by local media as saying.

The reduction of output has led to a loss of exports, worth more than 500 billion baht, or an average loss of 100 billion baht per year for the past decade, he said.

Thailand was the No. 1 shrimp exporter but has now slid to sixth place. Ecuador, India and Vietnam have become major exporters. However, Ekapot said the global shrimp market still acknowledges and has faith in the quality of Thai shrimp.

The TSA and partners in the shrimp industry have proposed to the country’s Ministry of Agriculture and Cooperatives to formulate guidelines for the development of the aquaculture industry to ensure sustainability for the country.

The association wants the Department of Fisheries (DoF) to urgently research and find cures for three major diseases – EMS, white faeces, and red and white spots – which are destroying shrimp farms. It is necessary for the DoF to research to produce disease-resistant young shrimp, an effective diet, and organise an appropriate raising system.

The association expects a suitable output of 400,000 tons per year, Ekapoj said.

If the plans succeed, the shrimp output will be sufficient to meet the demands of Thai processing plants within two years, thereby, freeing the country from the need to import shrimp and farmers would be able to sell at a satisfactory price, he said.

15th “Red Spring” festival collects 8,600 blood units

More than 8,600 units of blood have been collected nationwide during the 15th Xuan Hong (Red Spring) festival , 7,000 units higher than the set plan.

The information was reported at the closing ceremony of the nine-day event on February 20.

Speaking at the ceremony, Dr. Tran Ngoc Que from the National Blood Centre, affirmed that the annual event is a festival of kindness as it shows the benevolent spirit of volunteers and blood donors in voluntary blood donation activities.

The change in public awareness, and the enthusiastic response of those who are willing to register to donate blood, and the companionship and efforts of volunteers of the Hanoi Youth Association for Blood Donation, are among factors to the success of the festival, he said.

He underlined the necessity to organise similar events in 2022 to collect more blood units for medical treatment and emergency activities. The Xuan Hong festival is one of the year’s largest annual blood donation events. It was jointly launched by the National Institute of Haematology and Blood Transfusion (NIHBT) and the Hanoi Youth Association for Blood Donation in 2008, and conducted nationwide in 2010.

It aims to help address the shortage of blood for treatment during the Lunar New Year (Tet) holiday.

Over the past 15 years, about 100,000 units of blood have been collected.
